Annex A: Activities & Event Participation Terms

This Annex forms an integral part of the QLI Impact Terms and Conditions and applies specifically to activities and events facilitated, promoted, or listed by ESGP Life, Inc. (“QLI Impact”) through its platform(s), including but not limited to https://qli-global.com and https://qli-platform.com. In the event of a conflict, this Annex shall govern matters specific to activities and event-based contributions.

1. Scope of Activities

QLI Impact promotes and facilitates activities (e.g., workshops, yoga sessions, children's learning, beauty treatments, or other public or private engagements) hosted by third-party businesses or individual creators. These activities may generate proceeds—partially or fully—to be donated to vetted Social Impact Organizations (SIOs).

2. Nature of Role

QLI Impact acts solely as a platform facilitator and promoter, not as the primary organizer or operator of these activities. We do not assume operational responsibility for the conduct, quality, safety, or delivery of services by participating businesses or creators. Any participation is voluntary and at the user’s own discretion.

3. Use of Proceeds

Proceeds from these activities may be donated fully or partially to selected SIOs, net of costs and service fees. Please refer to the main Terms and Conditions for the Fee Schedules. The donation structure (percentage, fixed amount, or capped value) will be transparently disclosed before participation. Donations are held in trust by ESGP Life, Inc. until disbursed. These proceeds are not guaranteed to qualify as tax-deductible contributions.

4. Participant Responsibilities

Users who register or attend such events are responsible for: 1) Reviewing the event details and understanding the risks involved, 2) Ensuring they are physically and legally capable of participating, 3) Accepting that any services rendered are the responsibility of the event host. Participants engage in all events or services at their own risk. QLI Impact and its partners shall not be held liable for any injury, loss, or damage incurred during participation.

5. Refund and Cancellation

Unless expressly stated, event fees are non-refundable, except in the event of cancellation by the organizer or force majeure. Donation portions, once made, are not refundable.

6. Compliance and Transparency

All participating businesses are required to provide: 1) Verification of legal operation; 2) Confirmation that funds collected are not derived from unlawful activities, 3) Consent to QLI Impact’s transparency obligations and reporting framework. QLI Impact reserves the right to suspend, delist, or deny platform access to any party who fails to comply with these provisions.

7. Limitation of Liability

To the maximum extent permitted by law, ESGP Life, Inc. disclaims all liability for any injury, loss, or damage incurred through participation in such events. Disputes arising from services rendered must be resolved directly with the event organizer.

8. Photo and Media USe Content

By attending, participants consent to the use of event media (photos/videos) for QLI Impact’s promotional or reporting purposes, unless written objection is submitted in advance.”

9. Tax Receipt Disclaimer

Participation in activities promoted through QLI Impact does not guarantee the issuance of a tax-deductible donation receipt, unless expressly stated by the participating Social Impact Organization (SIO). ESGP Life, Inc. is not a registered charity and does not issue donation receipts for tax deduction purposes. Users are advised to consult their own tax advisors.

10. Anti-Money Laundering (AML) & Source of Funds Declaration

All activities facilitated through QLI Impact are subject to ESGP Life, Inc.’s AML policies. All participating businesses and individuals must confirm that funds collected or used are not derived from unlawful sources. QLI Impact reserves the right to request identity verification and source-of-funds documentation, especially for transactions exceeding HK$500,000. ESGP Life, Inc. retains the right to suspend or terminate participation in the event of suspected non-compliance.

11. Jurisdictional Compliance

All Event Hosts are responsible for ensuring their activities comply with relevant local laws and regulations, including but not limited to food handling, premises licensing, health and safety codes, and consumer protection standards. ESGP Life, Inc. bears no responsibility for regulatory compliance of third-party event operations.
